The email usually arrives after the product has already shipped. A client writes to say there’s a privacy issue they just noticed, maybe something about a data flow that wasn’t documented, or a feature collecting more information than expected. We get on a call, and after a few minutes of walking through the details, I ask a simple question:
“Who accepted that risk?”
There’s usually a pause. Then someone says, almost reassuringly, “Well, no one. That’s why it’s in the backlog. So that we can fix it.”
But that answer is the moment the real governance problem appears. Because the backlog isn’t neutral territory. You think it’s going into a cache to decide on it later, but if the product has shipped, then the organization has already made a choice, whether anyone formally acknowledged it or not. Calling it “in the backlog” doesn’t suspend the risk; it simply means the risk was accepted without being named. In practice, that silent, informal acceptance happens far more often than people acknowledge. And if no one can say who made the decision, then the organization isn’t managing risk at all, it’s shipping it with a prayer that the backlog eventually catches up before anyone important notices.
That, right there, is how privacy risk gets normalized inside organizations. It happens because everyone is moving fast, everyone is trying to be practical, and nobody wants to be the person who slows the launch, delays the release, or starts a larger cross-functional debate two days before something is supposed to ship.
So, the risk gets quietly converted into a future task. Maybe a Jira ticket. Maybe a note in a spreadsheet. Maybe an “open item” in the meeting notes. Maybe a Slack message that vanishes into the digital underbrush five minutes after it was posted.
And just like that, a real tradeoff has been made without anyone ever naming it as a tradeoff, and that’s why risk acceptance exists—to avoid these invisible tradeoffs.
Risk acceptance is the adult mechanism for saying: (1) yes, we see the issue; (2) yes, we considered options; (3) yes, someone with the right authority is knowingly accepting the residual risk for now; and (4) yes, there is a condition, owner, and expiration date attached to that decision.
That may not sound glamorous, but it is one of the cleanest ways to keep privacy governance from turning into a combination of magical thinking and selective amnesia.
Why risk acceptance exists in the first place
In privacy work, you rarely get perfect choices. I say rarely, instead of never, because who knows, maybe unicorns exist? Anyway, most of the time, you are choosing among imperfect options:
ship now with some mitigations coming later,
delay the launch,
reduce the scope,
change the design,
move to a different vendor,
or accept some level of residual risk because the business case, timing, or implementation constraints make full mitigation unrealistic in the moment.
This is normal. It is also exactly why organizations need a risk acceptance process. Risk acceptance does not mean “we do not care.” It means the opposite. It means you care enough to make the tradeoff explicit.
A defensible risk acceptance record answers a few basic questions:
What is the actual risk?
What could happen, to whom, and where?
What options did we consider?
Who decided?
What conditions were attached to that decision?
When will this be revisited?
Without a formal process, those decisions still happen. They just happen informally, inconsistently, and in places that are not built to hold governance decisions. Slack threads. Product standups. Side conversations after a meeting. The backlog. The mythical “we’ll circle back.”
That is not risk management. That’s burying the risk and hoping it doesn’t come back to haunt you later. It feels like the issue has gone somewhere, but really it has just become harder to find until it pops up as a customer complaint or regulatory action.

The backlog is useful. It just shouldn’t be your product privacy governance.
Let’s be clear that I am not anti-backlog. I might be harping on it now, but backlogs are an extremely useful work tracking tool for teams, and your technical fix to whatever the governance issue should absolutely be a part of your backlog. Backlogs help teams track work, prioritize future tasks, and keep implementation debt visible. My problem with them is when the backlog quietly becomes a substitute for decision-making.
A backlog item tells you what still needs to be done, but it cannot, by itself, answer whether the organization has knowingly decided to ship before that work is done, why the decision to ship was made, what criteria that acceptance was made on and how long that risk is reasonably accepted for. Those are different things.
A ticket that says “fix consent logic” is not a risk acceptance record. A task that says “update retention settings” is not a decision log. A vague note that says “privacy follow-up needed” is not evidence that someone with the right authority assessed the impact and made a bounded decision.
That distinction matters a lot later, particularly during audits, incidents, customer diligence, executive review, or litigation, because the organization will eventually need to explain not just what was left undone, but why it was acceptable to proceed anyway.
If the best answer you have is “Well, it was in the backlog for next quarter,” you are left with a workflow artifact masquerading as a business judgment with zero context.
Decision rights: who gets to accept which risks?
Risk acceptance only works when decision rights are explicitly made. This is where many teams stumble, because they treat risk as if anyone who notices it can also absorb it, but that is not how this works… at least not unless you love risk-related surprises. I personally do not.
A junior product manager should not be accepting enterprise-wide privacy risk because they are trying to hit a deadline. A privacy lead should not be unilaterally accepting a business tradeoff that materially affects revenue or organizational-level posture without context. Engineering should not quietly accept contractual or disclosure risk because the implementation is hard. Legal should not be making operational acceptance decisions in a vacuum if the business consequences are significant. And if those are the people that should be making these decisions based on your structure, org chart, or business goals, well, then that should be documented and followed up on, not done ad hoc.
The end game is that someone must have the authority to make the decision, with clear understanding of the decision scope, and boundaries to the authority. I’m not here to substitute my preferred risk model for your companies, but if you are looking for a practical model is to assign risk acceptance rights, you can consider doing it by impact level and sometimes by domain.
Examples of risk impact decision-making:
Low-impact risk might be accepted by a program owner or functional lead.
Medium-impact risk might require privacy plus a business owner, or privacy plus security, depending on the issue.
High-impact risk may require executive review, legal input, or cross-functional approval.
You do not need a committee for everything. In fact, if every privacy decision turns into a governance pageant, your teams will stop bringing things forward early because they know it will create procedural drag, and a risk-acceptance process that is ignored is arguably worse than one you haven’t created yet. The point of risk acceptance is to avoid silent but high-impact decisions.
If there is one sentence that encapsulates this whole article, it is this (and yes, I know I used a lot more sentences than that, but you can’t blame me for being very excited about privacy): risk acceptance should be proportional, explicit, and assigned to people who can own the consequences.
What defensible risk acceptance looks like
When I say own, you might immediately think… “Woah there! No one wants to own risk. That’s not a good look, and how would I even get people to take on that kind of risk?”
Well, ownership in this context means defensibility. It means having someone accept the risk who can defend that choice to the board, investors, regulators, and even the court of public opinion because their role, their standing, and their job description mandates it. Sadly, not everyone in your organization has defensibility.
Also, “defensible” does not mean perfect. It does not mean you have eliminated every possibility of criticism. It means the decision was reasonable, documented, and bounded. See, less scary when you think it through, and it’s actually a great thing, because when you have these things defined and documented, there’s an invisible weight that’s lifted off the shoulders of maybe you… who wakes up in a cold sweat in the middle of the night thinking about risks that feel completely unknown.
At a minimum, a defensible risk acceptance record (meaning document, row in a spreadsheet, or other logical place where this information is saved) should include the following:
1. A clear and specific risk statement that provides enough information to evaluate the risk, including [does a thing] and [creates issues] for [people] in a certain [place/role/etc.]
Example: “The new feature collects a persistent device identifier before the consent workflow is displayed, which may create disclosure and consent mismatch risk for users in certain regulated jurisdictions.”
2. Context for what system, product, vendor, or workflow the risk relates to and what change triggered the issue.
Risk without context becomes abstract very quickly, and abstract risk tends to get dismissed.
3. Impact and likelihood in plain language. Risk scoring is great, but don’t sacrifice clarity for mathematical precision if your environment doesn’t support it.
Think:
What harm could occur?
Who could be affected?
Why do I think this is low, medium, or high?
4. Mitigation options considered, and don’t skip it even if you’re in a hurry.
Write down what was considered:
delay launch,
reduce scope,
disable a feature in certain regions,
tighten retention,
add manual review,
change the vendor setting,
adjust public disclosures, or
proceed temporarily with conditions.
You want the record to show that “ship now and hope” was not the only option anyone thought of.
5. The decision and its conditions, including accepted, delayed, scope change, or temporary with mitigation tasks.
If the answer is “accept for now,” then what must happen next, by when, and under whose ownership? This is where accepted risk becomes a workflow you can follow instead of a headache that plagues your team.
6. Decision owner who accepted the risk and approvers as note who needs to know it exists (like a little mini RACI).
This is the part that transforms a floating concern into a governed decision.
7. Expiration date or review date, because risk acceptance shouldn’t live forever by default.
This is the difference between a bounded exception and a permanent loophole. You don’t want “temporary” to turn into “we haven’t looked at this in 18 months, but I think it’s fine.”
8. Evidence links to real artifacts that document the decision.
Examples might be tickets, configs, screenshots, contract excerpts, decision logs, or review notes.
Don’t let your risk log entries become a haunted graveyard
Risk log entries become a graveyard when the logged risks are disconnected from action. They become haunted when someone notices the risk and makes it a problem.
You have seen these logs. We all have. They are full of entries with solemn titles and alarming summaries and statuses like “open” or “accepted” or “monitoring,” and nobody has touched them since the quarter in which they were created. They technically exist, which makes everyone feel oddly reassured, but functionally they are a museum of unresolved tradeoffs.
The fix or this is the same as most of my fixes for everything (if you’ve been reading this newsletter long enough) and that is to treat risk acceptance as a workflow that gets executed, not an archive of tracked risk.
This might seem repetitive of what is above, but a good risk acceptance process should generate a decision, tasks, owners, dates, and a review point. If that seems familiar or even redundant, it’s because the risk acceptance record that I discussed in detail in the last section creates a record of these exact outputs that you can plug right into your workflow.
Here are a few practical habits that help you keep your risk logs exorcised instead of festering in the graveyard:
Require an expiration date for every accepted risk so that every one of them has an end point.
Review accepted risks quarterly, even if it’s just a fast 30-minute review.
Close risks when mitigations ship so that you’re accurately tracking those risks that are still “accepted” versus resolved.
Escalate risks that remain unresolved beyond their review date. If the organization wants to keep living with them, that should be a fresh decision, not an administrative accident.
Why this actually makes teams faster
On the surface, risk acceptance can sound like process overhead. More forms. More review. More governance furniture. In practice, I find that it often speeds work up.
Why? Because teams stop arguing in circles when the decision framework is clear. They know from the get-go what information is needed, who has authority, what tradeoffs need to be documented, and when something is small enough to handle locally versus serious enough to escalate. Less ambiguity means less wasted time!
It also protects trust. If something goes wrong later (and sometimes things do), you are not left saying, “Well, I think we talked about that.” You can show that the issue was identified, the options were considered, the decision was known, and the acceptance was bounded.
That is what grown-up governance looks like. Not perfection. Not theatrics. Just clarity, accountability, not letting the backlog make executive decisions, and definitely avoiding the ghost of risk logs past.
